These Terms of Service ("Terms") govern your use of the devMaths website (ai.devmaths.com) and, at a general level, our consulting relationship with clients. Specific engagements (audits, roadmaps, automation builds, retainers) are governed by a separate signed Statement of Work ("SOW") or agreement, which takes precedence over these Terms in the event of conflict.

devMaths provides services that may include, depending on the engagement: AI readiness audits, roadmap planning, workflow automation, AI/LLM integration, voice agent and chatbot development, and custom software builds. The specific scope, deliverables, timeline, and fees for any paid engagement are defined in a separate SOW signed by both parties. Nothing on this website constitutes a binding offer or guarantee of specific services, pricing, or outcomes.

Unless superseded by a signed SOW:
Audits and diagnostics are typically fixed-fee, paid in advance or per agreed milestones, and delivered within the timeframe stated in the SOW.
Build and implementation work is scoped, priced, and scheduled per project, with payment terms (deposits, milestones, or retainer billing) set out in the SOW.
Client responsibilities: Timely access to relevant systems, data, and personnel; timely feedback and approvals; and maintaining active subscriptions to any third-party tools (e.g., n8n, Zapier, OpenAI, CRM/helpdesk platforms) required for the engagement.
Change requests outside the agreed scope may require a revised SOW or additional fees.
Fees are as stated in the applicable SOW or invoice. Unless otherwise agreed, invoices are due within 15 days of receipt. Late payments may result in paused work. Third-party platform costs (AI API usage, automation tool subscriptions, hosting) are the client's responsibility unless explicitly included in the SOW.
Client materials: Any data, systems, or content the client provides remain the client's property.
Deliverables: Unless otherwise stated in the SOW, custom automations, workflows, and code built specifically for a client become the client's property upon full payment.
devMaths tools and frameworks: Pre-existing methodologies, internal templates, audit frameworks, reusable code libraries, and know-how developed by devMaths remain devMaths' property, even when used within a client engagement. devMaths retains the right to reuse general, non-confidential methods and learnings across other client work.
Both parties agree to keep confidential any non-public business, technical, or financial information shared during an engagement, and to use it only for purposes of the engagement. This obligation survives termination of the engagement. A mutual NDA is available on request before detailed technical discovery begins.
devMaths integrates with and builds on third-party platforms (including but not limited to Anthropic/Claude, OpenAI, Google Vertex AI, Retell AI, n8n, Zapier, and client-owned tools such as CRM/helpdesk software). devMaths is not responsible for outages, pricing changes, policy changes, or data handling practices of these third parties. Client use of such platforms is subject to the platform's own terms.
AI adoption outcomes depend on factors outside devMaths' control, including data quality, organizational adoption, and third-party platform performance. While devMaths aims to identify high-ROI opportunities and deliver working solutions, we do not guarantee specific revenue, cost-saving, or efficiency outcomes unless explicitly stated in a signed SOW.
To the maximum extent permitted by law, devMaths' total liability for any claim arising from these Terms or an engagement is limited to the fees paid by the client for the specific engagement giving rise to the claim. devMaths is not liable for indirect, incidental, or consequential damages, including lost profits or data loss, except where caused by devMaths' gross negligence or willful misconduct.
Either party may terminate an ongoing engagement per the notice terms in the applicable SOW. Client remains responsible for fees for work completed up to the termination date.
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles, unless otherwise specified in a signed SOW.
devMaths may update these Terms from time to time. The "Last updated" date reflects the most recent revision. Continued use of the website or ongoing engagements after changes constitutes acceptance of the updated Terms.
